1. Use of Services
You agree to use the Services only for lawful purposes and in full compliance with all applicable local, state, federal, and international laws.

You may not use the Services to:

• engage in fraudulent, abusive, or harmful behavior
• upload or distribute unsolicited marketing (spam)
• violate privacy or intellectual property laws
• disrupt, overload, or interfere with the operation or security of the Services

We may suspend or terminate your account for violating these Terms.

 2. Accounts
When creating an account, you agree to provide accurate, complete, and current information.
You are solely responsible for:

• maintaining the confidentiality of your login credentials
• all activity that occurs under your account
• monitoring unauthorized or suspicious use

We may require identity verification to prevent fraud or misuse.

 3. Subscriptions, Billing & Usage-Based Fees
Market Tycoon is offered as a subscription service. By starting a subscription, you agree to recurring billing (monthly or annually) using the payment method provided.

3.1 Recurring Subscription Fees
Your subscription will automatically renew unless canceled before the renewal date.
All subscription fees are non-refundable except where required by law.

3.2 Free Trials
If you sign up for a free trial, your payment method will be charged at the end of the trial period unless you cancel before the trial expires.

3.3 Usage-Based Fees (Additional Charges)
In addition to your subscription fee, certain features incur separate usage-based charges, including but not limited to:

• email sends
• SMS messages
• phone call minutes
• AI usage
• data storage
• automations
• third-party API or service costs

These usage-based fees:

• are not included in your flat-rate subscription
• vary month-to-month based on your actual usage
• are billed at the current published rates
• are automatically charged to your payment method on file
• remain your responsibility regardless of who initiated the usage (you, team members, clients, or unauthorized access caused by poor credential security)

You agree to monitor your usage in your dashboard and understand that usage may fluctuate depending on activity.

3.4 Usage Charges During Free Trials
Usage-based fees apply during the free trial period.
Although the subscription fee is waived during your trial, any usage-based charges (including but not limited to email sends, SMS messages, call minutes, AI usage, data storage, automations, or other third-party service costs) will be billed to your payment method on file.

By activating a free trial, you acknowledge and agree that:

• usage charges begin immediately upon accessing the Services
• you are fully responsible for all usage-based fees incurred during the trial
• canceling the trial stops future charges, but does not waive usage fees already incurred

 4. Cancellations
You may cancel your subscription at any time through your account dashboard.
Your subscription will remain active until the end of the current billing cycle.
No prorated refunds will be issued.

 5. Intellectual Property
All content, software, technology, trademarks, and materials associated with the Services are owned by or licensed to Market Tycoon.
You may not reproduce, copy, modify, sell, or distribute any part of the Services without our written consent.

 6. Limitation of Liability
The Services are provided “as is” and “as available” without warranties of any kind.
We do not guarantee uninterrupted or error-free operation.

To the fullest extent permitted by law, we are not liable for:

indirect, incidental, special, punitive, or consequential damages
lost profits or lost data
service interruptions or outages involving third-party providers (email, SMS, hosting, AI, etc.)
Your sole remedy for dissatisfaction with the Services is to stop using them.

7. Modifications
We may update or modify these Terms at any time.
If changes are material, we will provide notice by posting the updated Terms to our website.
Continued use of the Services after changes go into effect constitutes acceptance of the new Terms.

 8. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the state in which the Company is registered, without regard to conflicts of law principles.

 9. Communications, Compliance & User Responsibility (TCPA, CAN-SPAM, GDPR, CASL, Etc.)
By using the Services, you acknowledge and agree that:

You are solely responsible for ensuring your communications (email, SMS, calls, AI-generated content, etc.) comply with applicable laws, including but not limited to the TCPA, CAN-SPAM Act, CASL, GDPR, and other global privacy and anti-spam regulations.
You must obtain proper, legal consent from contacts before sending marketing or automated messages.
You may not upload purchased, rented, scraped, or third-party contact lists without verifiable consent.
Market Tycoon does not monitor or control your communications. Any legal liability, fines, or penalties from your misuse are solely your responsibility.
Violations may result in immediate account suspension or termination.
